These Terms and Conditions ("Agreement") govern the participation of vendors ("Vendor" or "You") in the ContarOne Program, operated by Contarmarket LLC, a Florida-based limited liability company ("Contarmarket"). By submitting an application to join the program, and upon acceptance and payment of the Executive Membership fee, you agree to abide by the terms set forth herein.
Contarmarket reserves the right to modify this Agreement at any time, with prior written notice in accordance with Section 16. Continued participation in the ContarOne program constitutes acceptance of any such changes.
To be considered for participation in the ContarOne Program, you must:
Submit a formal application via ContarOne.com.
Be a legally registered entity (corporation, LLC, or similar) authorized to conduct business in the United States or abroad.
Provide documentation upon request, including proof of business registration, tax ID, product certifications, and any applicable licenses.
Only upon acceptance of your application by Contarmarket may you proceed to subscribe to the Executive Membership, which is mandatory to access the seller portal. The membership fee is $59 per year, non-refundable, and billed upon account activation.
All products must be submitted for approval before being listed. The vendor must:
Present a list of proposed products for pre-evaluation.
Provide at least 3 high-resolution images, a commercial description, technical data sheet, certifications, and an indication of expiration date (minimum 6 to 8 months validity upon arrival).
Ensure compliance with U.S. law, including FDA regulations, product labeling, and consumer safety standards.
Contarmarket reserves the right to accept or reject any product at its sole discretion and without obligation to disclose specific reasons.
Once a product is approved, the Vendor will be charged a $10 listing fee per item for administrative processing, review, and quality control. This fee is non-refundable and must be paid before publication on the platform.
Only Vendors with an active Executive Membership will be granted access to the seller portal and permission to list products. Vendors who cancel or fail to renew their membership will be suspended until reinstated.
Contarmarket charges a 20% commission on the final sale price of each product sold (after any promotional or membership discount is applied).
Contarmarket reserves the right to adjust the commission rate in the future. Any changes will be communicated in advance and will not apply retroactively. Vendors may negotiate rates only by mutual written agreement with Contarmarket.
All products must be listed with at least a 5% discount off MSRP to benefit Executive and Platinum members.
Additional discounts or promotional pricing may be proposed by the Vendor and must be approved by Contarmarket prior to publication.
Vendors may not list any product that is already sold directly by Contarmarket. This includes identical SKUs, branded items, or private label products. Vendors are responsible for verifying exclusivity before submitting items.
Violations of this policy may result in listing removal, financial penalties, or suspension from the platform.
The Vendor assumes full legal and commercial responsibility for all products listed under their account, including:
Compliance with all applicable laws and regulatory frameworks (FDA, USDA, FTC, CPSC, etc.).
Accurate labeling, legal claims, and proper usage instructions.
Intellectual property rights and trademark clearances.
Product liability in case of damages, injuries, or claims.
Contarmarket is not the legal manufacturer, distributor, or agent of any third-party product listed under ContarOne and is therefore not responsible for consumer claims, product recalls, or regulatory actions related to a Vendor’s merchandise.
Contarmarket offers centralized warehousing and order fulfillment from its distribution center. The Vendor must:
Ship approved merchandise to the warehouse at their own expense.
Follow Contarmarket’s labeling and packing guidelines, provided at the time of acceptance.
Cover all inbound freight and preparation costs.
First 60 days of storage are free.
After 60 days, the Vendor will be charged $20 per pallet per month, prorated for partial pallets.
Failure to pay or respond may result in liquidation or disposal of unsold inventory without further notice.
The Vendor agrees to bear responsibility for:
Any damage that occurs during shipment to Contarmarket’s warehouse or from Contarmarket to the end customer (if deemed the result of faulty packaging or product fragility).
Costs associated with refunds or returns if a product is defective, mislabeled, expired, or non-compliant.
Contarmarket reserves the right to deduct these amounts from pending payments or to invoice the Vendor directly.
Vendors will be paid every 15th and 30th of the month, based on orders delivered and confirmed 30 days prior.
Payments will be made via ACH transfer or wire, to the Vendor’s designated account.
A sales and commission report will be issued with each payment cycle.
Vendors are responsible for their own income tax reporting and any required IRS documentation (W-9, W-8BEN, etc.).
Contarmarket reserves the right to suspend or terminate a Vendor account under the following conditions:
Repeated policy violations.
Late or non-payment of storage or service fees.
Product compliance failures or legal complaints.
Breach of exclusivity or intellectual property.
Terminated Vendors will be notified and required to retrieve any remaining inventory at their own expense within 30 days.
This Agreement is governed by the laws of the State of Florida, USA. The Vendor agrees to:
Submit to the exclusive jurisdiction of Florida courts in any dispute.
Indemnify and hold harmless Contarmarket LLC, its officers, agents, and employees from any liability, legal claim, cost, or damage arising from their participation in the ContarOne program.
Contarmarket reserves the right to update these Terms and Conditions at any time, with a minimum of 30 days’ notice via email or the seller portal. Continued use of the platform implies acceptance of the new terms.

By participating in the ContarOne program, the Vendor acknowledges and agrees to:
Be bound by these Terms and Conditions.
Assume full responsibility for all products, legal risks, and operational obligations.
Act in good faith and cooperate with Contarmarket to maintain the quality and reputation of the marketplace.
